Welcome to another edition of Cox & Nici's E-News
where we inform you about current legal issues that
may affect you and your loved ones.
As you may be aware, if you have a Florida business
of any kind, there
are several record keeping items that need to be
completed each year in order to keep the business
active
and in compliance with Florida law. Specifically, each
business is required to keep a record of major
business
transactions that take place during the year, file an
annual report with the state, conduct annual meetings
and record
minutes of such meetings. Furthermore, each
business is required to appoint a Registered Agent
who is available to receive service of process and
whose office is open during regular business hours.
As a service to our clients, we offer an Annual
Maintenance Program ("AMP") that helps the business
maintain
the records in accordance with Florida law.
Specifically,
under our AMP, Cox & Nici prepares the
following documents and complete the following
steps on behalf of your business:

1) Annual Report
The Annual Report is a State form that requires each
business to update information for filing with the
Division of Corporations. This information is available
for public viewing. Cox & Nici will download this report
each year and send it to each business at its principal
place of business for processing before we file it with
the State of Florida in a timely event to avoid penalties
or involuntary administrative dissolution.

2. Annual Meeting and Minutes
We will prepare the minutes of the annual meeting for
your business reflecting the election of the Manager or
Board of Directors and any other business that is
discussed.

3. Actions Taken by the Manager or Officers
In Florida, Managers and Officers may typically take
most actions on behalf of the business.
Nevertheless, major decisions such as a pledge of
the business' assets, a major contract or the transfer
of an ownership interest should be recorded in your
business Minute Book. If necessary, we can prepare
document whereby the Manager ratifies major actions
taken on behalf of the business.

4. Act as Registered Agent
According to Florida Statutes, every entity doing
business in the State of Florida must
register with the Department of State the current name
and address of an Agent on whom process may be
served. Cox & Nici will act as such Agent and notify
the business owners of any service of process.

5. Maintain the Records Book
All business records are
required by law to be kept and maintained at the
principal place of business. Cox & Nici
will provide each business owner with a copy of the
Records
Book while holding the original in our firm vault and
maintain the required records during the year. Each
business and its owners will have
access to the original documents upon request.
